Corporate/LLC Annual Reports

The State of Michigan requires corporations and limited liability companies to file an "Annual Report" and pay a $25.00 filing fee each year the entity is in existence.  If a corporation/ LLC fails to file an Annual Report for 2 or more years following the due date, it will be "automatically dissolved" by the State of Michigan.  Although the "automatic dissolution" by the State of Michigan does not actually cause the dissolution of the entity, it does cause the entity to lose certain rights.  Some of the rights that can be lost include the exclusive use of a particular name (a third party can take over a name) and the right to commence legal action.  To find out if your entity is "active" and therefore in good standing, Click here.  If you need assistance bringing your entity back into good standing, Click here.
